The Registrant is unable to file its Annual Report on Form 10-K within the
prescribed time period as a result of difficulties encountered in the
collection, compilation and consolidation of certain financial information that
is required to complete the preparation of the audited financial statements for
the year ended December 31, 1999. The Registrant expects to file its Annual
Report on Form 10-K no later than the fifteenth calendar day following the due
date.

     It is anticipated that the Registrant will report revenue and earnings that
     are below those reported for the last fiscal year. Due to the difficulties
     encountered in the collection, compilation and consolidation of certain
     financial information that is required to complete the preparation of
     audited financial statements for the year ended December 31, 1999, and the
     fact that audited financial statements have not been completed, the
     Registrant is unable to provide estimates of the expected results at this
     time.
