The Company was unable to file its Form 10-QSB by the deadline because the
recent acquisitions and the hiring of a new CFO diverted the Company from
working on the Form 10-QSB.

NARRATIVE AND QUALITATIVE EXPLANATION OF THE ANTICIPATED CHANGE:

The Company expects to record significant increases in operations due to
acquisitions for the three months ended February 29, 2000, as compared to the
three months ended February 28, 1999.
