                               NARRATIVE

     State below in reasonable detail the reasons why Form 10-K, 11-K, 20-F,
10-Q, N-SAR or the transition report portion thereof could not be filed within
the prescribed time period.

    	Time was required to permit a review of accounts receivable reserves
(which will result in a reduction of those reserves) and other accounts
following a change of controllers at the Long Term Care Division.
