The Registrant's Quarterly Report on Form 10-Q for the quarter ended August 31,2001 could not be filed within the prescribed period due to a relocation of the Company's headquarters from Michigan to Massachusetts and the resulting departure of a few employees that were important to the completion of the financial statements and regulatory filings in prior years. New personnel have been hired and trained in Massachusetts but this process has delayed the regulatory filing.
