                             PART III-NARRATIVE

     The Company's subsidiary, National Telephone & Communications, Inc., has 
recently experienced an attrition in both its number of independent 
representatives and its customer base, giving rise to questions as to 
impairment in fair values of certain long term assets. Further, this 
subsidiary is involved in discussions concerning its sale, which could 
trigger the recognition of liabilities for restructuring charges. An 
additional amount of time is necessary to properly analyze an account for 
these amounts, in order to fairly present the most accurate consolidated 
financial position of Incomnet, Inc. and its subsidiaries as of December 31, 
1997.
