AIR T, INC. FY23 Financial Highlights (For the Twelve-Month Period Ended 3/31) 10 FY Results ■ FY23 saw a 40% revenue increase across all segments. This includes a $44.0M increase in Commercial Jet Engines and Parts, which was driven by higher component sales due to more activity in the aviation industry. Overnight Air Cargo increased by $16.1M, mainly due to higher pass-through revenues and admin fees. A higher volume of trucks to the military and commercial customers led to Ground Equipment Sales increase by $6.2M. ■ FY23 operating income decreased by $13.1M. The decrease was primarily driven by $9.1M of ERC credits received in FY22 and increases of $7.0M in inventory write-downs and impairment. Overnight Air Cargo increased $1.3M year-over- year due to higher revenues offset by higher pilot salaries and aircraft lease costs. In addition, Commercial Jet Engines and Parts increased by $2.0M (excluding the inventory write-down and impairment) due to high component sales. AIR T, INC. YTD FY24 Financial Highlights (For the Nine-Month Period Ended 12/31) 11 FY Results ■ YTD FY24 saw a 24% revenue increase compared to YTD FY23 across all segments. This includes a $26.9M increase in Commercial Jet Engines and Parts, which was driven by higher component sales due to more activity in the aviation industry. Overnight Air Cargo increased by $20.5M, mainly due to higher pass-through revenues, admin fees, and the addition of WASI (see page 19) to the segment. A lower volume of deicers to commercial customers decreased Ground Equipment Sales by $7.5M. ■ YTD FY24 operating income overall decreased by $1.3M through the comparable 9-month period of the prior year. Overnight Air Cargo increased $2.6M year-over-year due to the higher revenues. However, these increases were offset by a $3.7M decrease in the Ground Equipment Sales Segment due to lower sales, as well as increased direct and overhead costs. Also, Commercial Jet Engines and Parts decreased by $1.6M primarily due to the increased cost to overhaul material squeezing out margins. We believe this is an industry-wide phenomenon initially driven by COVID-19 and is likely transitory. Commercial Jet Engines and Parts 12 SEGMENT 1 ■ We buy aircraft and engines, then either lease, trade, or send them to part out. ■ We supply parts to maintenance, repair, and overhaul facilities (MRO). ■ Companies in this segment include Contrail, AirCo, AirCo Services, Worthington, Jet Yard, Air’Zona, and LGSS. ■ Sales continue to rebound with additional activity in the aviation industry while operating income was down primarily due to lower margins on parts from teardowns. Why do you think issuing Trust Preferreds ("TruPs") addresses your liquidity issues?2 TruPs are long-term capital with a periodic fixed obligation. This type of capital is well matched with the long-term businesses and assets that Air T owns. Because they are traded on the open market, we can buy and sell TruPs to manage our liquidity needs. Why is this private company rife with conflicts of interest allowed to be publicly traded?2 We follow the law. We care about our brand. Our board, auditors and SEC lawyers take very seriously all legal and regulatory conflicts of interest rules and concerns. Our CEO’s annual salary has never been more than $50,000. All of our AIRT employee equity incentive vesting requirements are tied to the performance of the stock; and, to date, none of the stock return vesting tests have been met.


 
37 Why doesn’t this company just part itself out? Surely the two owners of 66% realize that a sale and debt paydown is better than an equity wipeout.2 Thank you for your assertive question.
