Item 8.01 Other Events

On November 17, 2010, the Board of Directors of Epoch Holding Corporation (the "Company") declared a special cash dividend of $0.75 per share on the Company’s common stock. The dividend is payable on December 16, 2010 to all stockholders of record at the close of business on December 2, 2010.  The aggregate dividend payment will total approximately $17.1 million based on the number of shares of common stock currently outstanding.

 A copy of the press release issued by the Company is attached as Exhibit 99.1.
