Item 8.01 Other Events

The Board of Directors of Epoch Holding Corporation (the "Company"), at a meeting held on the evening of November 13, 2009, declared a special cash dividend of $0.30 per share on the Company’s common stock. The dividend is payable on December 15, 2009 to all shareholders of record at the close of business on November 30, 2009.  The aggregate dividend payment will total approximately $6.7 million based on the number of shares of common stock currently outstanding.
