     On May 10, 2006, Mr. Simon F. Hawksworth notified HEI, Inc. (the “Company”) of his intention to resign his position as Vice President of Sales and Marketing. The Company does not presently intend to replace Mr. Hawksworth and will redistribute his sales and marketing responsibilities to the business units.
