Item 7.01. Regulation FD Disclosure.

     On July 23, 2008, Dawson Geophysical Company (the “Company”) issued a press release announcing that it plans to publicly release its financial results for the quarter ended June 30, 2008, the Company’s third quarter of fiscal 2008, before the market opens on Thursday, July 31, 2008. In addition, the Company announced that an investors’ conference call to review the third quarter results will be held on Thursday, July 31, 2008, at 9:00 a.m. Central Time.

     A copy of the press release is furnished as an exhibit to this Current Report.
