Item 8.01. Other Events

On September 22, 2008, Citizens Republic Bancorp, Inc. (the “Company”) issued a press release announcing the results of the shareholder vote in conjunction with the special shareholder meeting. The full text of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.

At the special meeting, the shareholders of the Company voted to amend Article III of the Corporation’s Amended and Restated Articles of Incorporation to increase the number of authorized shares of common stock from 100 million to 150 million shares. The amendment was filed with the State of Michigan and became effective September 23, 2008. The complete revised Amended and Restated Articles of Incorporation will be filed as an exhibit with the Company’s Form 10-Q for the period ended September 30, 2008.
