     Item 7.01 Regulation FD

     The Company received notification from the NASDAQ Stock Market stating that
its common  stock has had a closing bid price of less than $1.00 for thirty (30)
consecutive  days.  Accordingly,  the Company is  non-compliant  with the NASDAQ
Market Rules ans has until March 29, 2010 to regain compliance.
