Mr. Mikan is the President of ESL Investments, Inc., which together with certain of its affiliates beneficially owns securities of the Issuer. Mr. Mikan states that neither the filing of this statement nor anything herein shall be deemed an admission that he is, for purposes of Section 16 of the Securities Exchange Act of 1934, as amended (the "Act"), or otherwise, the beneficial owner of any securities beneficially owned by ESL Investments, Inc. or its affiliates. Mr. Mikan disclaims beneficial ownership of any securities beneficially owned by ESL Investments, Inc. or its affiliates, except to the extent of his pecuniary interest in such securities.
