Item 1.01 Entry into a Material Definitive Agreement

On March 7, 2008, Lattice Incorporated (the “Company”) entered into a Loan and Security Agreement (the “Loan Agreement”) with the Private Bank of Peninsula (“Private Bank”) pursuant to which Private Bank agreed to extend a line of credit of up to $2.4 million to the Company. This amount may be increased up to a maximum of $4.0 million should Private Bank enter into a participation agreement pursuant to which Private Bank may transfer to another financial institution a participating interest in the line of credit. Pursuant to the Loan Agreement, the Company can request advances on the Line of Credit, which in the aggregate do not exceed 85% of the Company’s eligible accounts. The Line of Credit bears interest at 3% above the Prime Rate.
