Item 8.01. Other Events.

 

On October 31, 2005, the Board of the Registrant designated John J. Omlor as the Lead Independent Director, to serve in such capacity until his successor is appointed and qualified.

 

In addition, the Board chose to reconfigure certain of its committees due to the resignation of Michael J. Farrell from the Board on October 21, 2005. In particular, James J Tietjen became a member of the Audit Committee and Anthony A. Ibargüen and Steven B. Fink became members of the Governance and Compensation Committee with Mr. Ibargüen becoming the chairman. The Registrant has advised Nasdaq that as a result of the changes, the Registrant continues to comply with the Nasdaq Corporate Governance Rules.
