(KAIM, Inc.), a Nevada corporation, serves as general partner of Kayne Anderson Capital Advisors, L.P. (KACA, LP), a California limited partnership. KACA, LP is an investment adviser registered under the Investment Advisers Act. It serves as general partner of and investment adviser to six investment funds named Arbco Associates, L.P., Kayne, Anderson Non-Traditional Investments, L.P., Kayne Anderson Diversified Capital Partners, L.P. and Kayne Anderson Capital Partners, L.P., each a California limited partnership, and Kayne Anderson Energy Fund, L.P., Kayne Anderson Capital Income Partners (QP), L.P., each a Delaware limited partnership. KACA, LP also serves as investment adviser to other clients, including Kayne, Anderson Offshore Limited, a British Virgin Islands corporation. RICHARD A. KAYNE Mr. Kayne, a U.S. citizen, is President, Chief Executive Officer and Director of KAIM, Inc. He also serves as Management Committee Co-Chair and Chief Executive Officer of Kayne Anderson Rudnick Investment Management, LLC, a California limited liability company (KARIM, LLC), and President and Director of KA Associates, Inc., a Nevada corporation (KA). SOURCE AND AMOUNT OF FUNDS OR OTHER CONSIDERATION Investment partnership funds were derived by a combination of cash contributions to the partnerships by the limited partners and, additionally, from the use of margin by certain of the partnerships. ITEM 4. PURPOSE OF TRANSACTION The shares of the issuer were purchased for investment purposes. Richard A. Kayne, KACA, LP, KARIM, LLC, on behalf of themselves and their managed accounts, will consider making further sales or purchases of the shares. ITEM 5. INTEREST IN SECURITIES OF THE ISSUER a. KACA, LP and Richard A. Kayne report beneficial ownership of 4,102,656 and 4,412,451 shares, representing 19.85% and 21.34% of the shares outstanding, respectively, which include 1,126,527 shares which may be acquired within 60 days upon conversion of preferred stock. b. KACA, LP has shared voting and dispositive power (with Richard A. Kayne) over its 4,102,656 shares. Richard A. Kayne has sole voting and dispositive power over 309,795 shares and shared voting and dispositive power (with KACA, LP or KARIM, LLC) over 4,102,656 shares, together representing 21.34% of the outstanding shares of the common stock of the issuer, which include 1,126,527 shares which may be acquired at any time upon conversion of preferred stock. The shares over which Mr. Kayne and KACA, LP have shared voting and dispositive power are held by accounts for which KACA, LP serves as investment adviser (and, in some cases, as general partner). The shares over which Mr. Kayne and KARIM, LLC have shared voting and dispositive power are held by accounts for which KARIM, LLC serves as investment adviser. KACA, LP disclaims beneficial ownership of the shares reported, except those shares attributable to it by virtue of its general partner interests in certain limited partnerships holding such shares. Mr. Kayne disclaims beneficial ownership of the shares reported, except those shares held by him or attributable to him by virtue of his limited partner interests in such limited partnerships and by virtue of his indirect interest in the interest of KACA, LP in such limited partnerships. A total of 1,000,000 of the reported shares is subject to an executory contract to sell to Jim Flores, Chief Executive Officer designate of Plains Resources, Inc., entered into on May 8, 2001.
