Item 5.02. Other Events

On July 15, 2005 Frank E. Macher resigned from the Board of Directors of Federal-Mogul Corporation (the “Company”). On July 7, 2005, Collins & Aikman Corporation announced that Mr. Macher has been appointed president and chief executive officer of Collins & Aikman Corporation. At the time of his resignation, Mr. Macher served on the Company’s Governance and Nominating Committee and Pension Committee.
