ITEM 5.           Other Events and Regulation FD Disclosure.

On September 29, 2003, Farmland Industries, Inc. ("the Registrant") issued a press release announcing the bid by Coffeyville Resources, an affiliate of Pegasus Partners II, to purchase substantially all of its petroleum assets and the nitrogen facility located in Coffeyville, Kansas.  The information contained in the press release, which is attached as Exhibit 99.1 to this report, is incorporated by reference. 

On September 29, 2003, the Registrant issued a press release announcing the bid by J.R. Simplot Company to purchase its fifty percent ownership interest in SF Phosphates Limited Company, which owns and operates a phosphate fertilizer manufacturing facility in Rock Springs, WY and a phosphate mine in Vernal, UT.  The information contained in the press release, which is attached as Exhibit 99.2 to this report, is incorporated by reference.

Farmland Announces Bid for Petroleum and Fertilizer Assets
Agreements signed with Pegasus Capital Advisors 

KANSAS CITY, Mo. (Sept. 29, 2003) --- Farmland Industries and Coffeyville Resources, an affiliate of Pegasus Partners II, of Cos Cob, Conn., have signed an agreement for Coffeyville Resources to purchase the Coffeyville, Kan., based petroleum refining assets and nitrogen fertilizer assets from Farmland.

The agreement provides for the purchase of the Coffeyville Petroleum Refinery, the Phillipsburg Terminal, the Farmland Crude Oil Gathering System located in Kansas, Oklahoma and Nebraska; the ammonia and UAN fertilizer plant also located in Coffeyville; plus the feed and product inventories required to operate the facilities.

The total value of the proposed sale of assets is approximately $281 million, including cash and the assumption of liabilities. The agreement is subject to court approval establishing Coffeyville Resources as the "stalking horse" bidder, and then subject to an auction process. The agreements include adjustments for working capital, earn-outs and assumed liabilities.

"Farmland is pleased to have secured a qualified bidder for the Coffeyville facilities," said Stan Riemann, Farmland executive vice president and president, Crop Production. "We anticipate a smooth sales process and resolution to this stage of our reorganization."

Farmland's next step in the sale process will be to file the agreements with the Bankruptcy Court. Farmland will ask U.S. District Court Judge Jerry Venters to approve bid and auction procedures for the assets, set a time to qualify other potential bidders and set a date for the auction. In preparation for that auction, Farmland will begin providing information to other potential participants. Farmland anticipates completing the sale later this winter.

"We look forward to the potential of these assets and to working closely with the management teams and employees at these facilities," said Philip L. Rinaldi, CEO of Coffeyville Resources.  "After closing the transaction, we plan to make many improvements to the commercial fabric of these businesses and to the productive assets, including capital investments for upgrades required to meet the specifications mandated by the Environmental Protection Agency."

 Farmland Announces Bid for SF Phosphates

KANSAS CITY, Mo. (Sept. 29, 2003) - Farmland Industries reached an agreement with J.R. Simplot Company for the sale of Farmland's interest in a phosphate fertilizer manufacturing plant, mine, and connecting pipeline for $64.5 million cash and additional consideration as provided in the agreement.

The Rock Springs, Wyo., manufacturing facility and the phosphate mine, located at Vernal, Utah, have been owned and operated by SF Phosphates Limited Company, a joint venture of Simplot and Farmland, since 1992.

"This agreement offers a smooth transition of Farmland's assets to our existing partner," said Stan Riemann, Farmland executive vice president and president, Crop Production. "We anticipate a swift close to this transaction."

The agreement is subject to an auction proceeding under the supervision of the U.S. Bankruptcy Court.  Other parties will be permitted to bid on Farmland's interest in SF Phosphates.  If there are no higher or better bids, Simplot will proceed with the purchase in accordance with the agreement. The auction is expected to occur in early November.

Simplot President and CEO Larry Hlobik said the Company's familiarity with SF Phosphates, and its existing fertilizer marketing and distribution capabilities, make this a very logical acquisition.

"This complements our other fertilizer business, and will help ensure an adequate supply of phosphate products for our customers," said Simplot President and CEO Larry Hlobik.
