Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b) On October 12, 2020, Randy E. Clark notified Farmer Bros. Co. (the "Company") that he is resigning from the Company's Board of Directors (the "Board"), as well as from the Audit Committee, effective immediately due to other personal and business commitments. Mr. Clark’s decision to resign is not the result of any disagreement with the Company or its management with respect to any matter relating to the Company's operations, policies or practices.

On October 15, 2020, the Board appointed Christopher P. Mottern, the Chairman of the Board, to the Audit Committee effective immediately, replacing Randy E. Clark. Also, the Board voted to reduce the size of the Board from seven directors to six directors.
