Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On July 2, 2010, Joseph DePinto verbally informed Jo-Ann Stores, Inc. (the "Company") that he intends to resign from the Company's Board of Directors on August 1, 2010 due to other anticipated commitments. Mr. DePinto has confirmed that his resignation is not the result of any disagreement with the Company with respect to its policies, operations, or practices. The Company's Board of Directors will decide in the future whether to replace Mr. DePinto, or reduce the size of the Board from ten members to nine.
