Item 8.01 Other Events.

On May 25, 2006, IKON Office Solutions, Inc. (the "Company") completed its previously announced cash tender offer to purchase any and all of its 7.25% notes due 2008 (the "Notes"). The Company accepted tenders for approximately $81.2 million aggregate principal amount (representing approximately 86%) of the Notes.
