Explanation of Responses:
1. A total of 584 of the shares directly held are subject to vesting requirements. Full beneficial ownership of some or all of these shares may not fully vest in reporting person.
2. The deferred stock units were acquired pursuant to the issuer's 2003 Non-Employee Directors' Compensation Plan (the "Plan"). The deferred stock units are to be settled (at a rate of one unit for one share) in the issuer's common stock upon the reporting person's termination or retirement or as otherwise described in the Plan. The 8/8/88 date reflected in column 6 (Table II) is an arbitrary date established by the SEC to support electronic filing. Exempt transaction pursuant to Rule 16b-3(d).
3. Stock Option vests 20% per year beginning one year from the date of grant.
