Item 2.02.   Results of Operations and Financial Condition.

On January 27, 2005, IKON Office Solutions, Inc. (“IKON” or the “Company”) issued a press release announcing its consolidated financial results for the first quarter of Fiscal 2005. A copy of this press release is furnished as Exhibit 99 to this report.

Additional information regarding the first quarter results and the Company’s outlook for the next quarter will be discussed on a conference call hosted by IKON at 10:00 a.m. EST on Thursday, January 27, 2005.
