Item 8.01               Other Events.

Effective June 22, 2006, through our subsidiary U.S. Traffic Corporation (“UST”), we sold our portable variable message sign, tunnel lighting and illuminated street sign product lines to National Signal, Inc. (“NSI”) for a cash payment of $1.5 million. This sale is part of our restructuring plan for our Intersection Control Segment to discontinue and transfer certain product lines as further described in our Form 8-K dated April 25, 2006. In connection with this transaction, we sold inventory, equipment, intellectual property, contracts and orders to NSI and estimate a non-cash loss of approximately $2 million.

Also in connection with this transaction, we will perform certain transition services for NSI during the next 60 days. NSI also subleased from UST approximately 57,000 square feet of the 180,000 square foot facility in Santa Fe Springs, California.
