Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 3, 2019, the Board of Directors of Emerson Radio Corp. (the “Company”) approved the grant of an aggregate cash retention bonus of $60,000 to Michael Binney, the Company’s Chief Financial Officer and Secretary, to be paid as soon as practicable following Mr. Binney’s entry into a retention bonus agreement with the Company. The retention bonus agreement, which took effect on October 7, 2019, is intended to incentivize Mr. Binney’s continued employment with the Company, and the bonus will be earned in three equal installments of $20,000 on each of the first three anniversaries of the effective date of the retention bonus agreement, subject to repayment requirements in certain conditions.
