          The Registrant and First Union National Bank have entered into a
          written Amendment to the Forbearance Agreement between the parties
          dated February 16, 2001. The Amendment, under certain conditions
          set forth therein, extends the forbearance period, during which
          time the bank will forbear from exercising any of its rights or
          remedies against the Registrant under the Bank's loan documents,
          from April 1, 2001 to June 1, 2001. The Registrant continues to
          pursue refinancing alternatives during the extended forbearance
          period.
