Item 2.  Acquisition or Disposition of Assets

On March 10, 2004, Electro Rent Corporation issued a press release
announcing its entry into the business continuity/disaster recovery market
with its acquisition from a unit of CIT Group Inc. of the contracts that
comprise the unit's quick-ship services business.

A copy of the press release is furnished as Exhibit 99.1 to this report.
