Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 28, 2007, James M. Tidwell informed Pioneer Drilling Company (the “Company”) of his intention to resign from its Board of Directors, effective immediately, due to his other business commitments. Mr. Tidwell served on the nominating and corporate governance committee and as chairman of the audit committee of the Company’s Board of Directors.

A copy of the press release announcing Mr. Tidwell’s resignation is attached as Exhibit 99.1 to this current report and incorporated by reference herein.
