Item 5.02   Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
     On March 17, 2008, Michael F. Harness, a Class I director of Pioneer Drilling Company (the “Company”), informed the Company that he had decided not to stand for re-election to the Company’s Board of Directors and will resign as a director of the Company and as a member of the Compensation Committee and the Nominating and Corporate Governance Committee, effective as of the Company’s 2008 Annual Meeting of Shareholders, which is currently scheduled for May 16, 2008. Mr. Harness cited increased time demands related to his other business interests, and not any disagreement with the Company’s operations, policies or practices, as the basis for his decision.
