Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers. 
 
  On February 4, 2016, Vice Admiral Jerry O. Tuttle (USN, Ret.) informed the Company that he would not stand for re-election to the Board of Directors of Telos Corporation at its 2016 Annual Meeting of Stockholders.  Admiral Tuttle does not have any disagreements with Telos relating to its operations, policies or practices.
