Explanatory Note
United Airlines Holdings, Inc. ("UAL"), the holding company whose subsidiary is United Airlines, Inc. ("United," and together with UAL, the "Company"), is filing this Amendment No. 1 (the "Form 8-K/A") to its Current Report on Form 8-K, which was filed with the U.S. Securities and Exchange Commission earlier today (the "Original Form 8-K"), for the sole purpose of correcting the Company's adjusted pre-tax margin1 guidance range to be consistent with the adjusted diluted earnings per share2 guidance range for the first quarter 2023. The information otherwise previously reported in the Original Form 8-K is hereby incorporated by reference into the Form 8-K/A. Except for this correction, this Form 8-K/A does not modify or update disclosures in the Original Form 8-K.
