The stated term of the Partnership under its limited partnership agreement has expired, and the Partnership has accordingly liquidated and distributed its securities, including such shares of Team, Inc. common stock, to its partners (including to Mr. Waters, both individually and as trustee of certain family trusts), in accordance with their respective partnership interests.   Mr. Waters is the Managing General Partner of the Partnership.  Mr. Waters' and Mr. Waters' family trusts' beneficial interests in such shares of Team, Inc. common stock have not changed as a result of the liquidation of the Partnership and distribution of such shares of Team, Inc. common stock.</footnote>
