         On July 8, 1999, the Securities and Exchange Commission declared
effective the Registration Statement on Form S-3 (No. 333-81041) (the "Shelf
Registration Statement") of Public Storage, Inc. (the "Company"), which permits
the Company to issue an aggregate of $800,000,000 of common stock, preferred
stock, equity stock, depositary shares and warrants (the "Securities"). As of
the date of this report, $425,091,800 of Securities remain unissued under the
Shelf Registration Statement. The Company is filing a Registration Statement
under Rule 462(b) under the Securities Act to register an additional $84,910,000
of Securities.
