        The description (the "Description") of the Registrant's Series A 7.75% Convertible Preferred Stock, no par value per share (the "Series A Preferred"), is set forth under the caption "Description of Andrew Capital Stock" in the Registrant's Registration Statement on Form S-4 (Registration No. 333-104177) filed with the Securities and Exchange Commission on March 31, 2003, as amended by Amendment No. 1 filed on May 15, 2003 and as further amended by Amendment No. 2 filed on June 2, 2003 (the "Registration Statement"), which description is incorporated herein by reference.
