Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On May 4, 2006, William Bax, was elected to the Andrew Corporation’s board of directors. William Bax is Andrew’s 10^th board member and qualifies as an independent director. Mr. Bax will serve on the audit committee and another committee yet to be determined.
