Item 1.01.              Entry into a Material Definitive Agreement.

On August 11, 2006, International Rectifier Corporation (the “Company”) entered into the First Amendment to the Amended and Restated Rights Agreement (the “Amendment”) with Mellon Shareholder Services (“Mellon”) (f/k/a ChaseMellon Shareholder Services L.L.C.), as Rights Agent.  The Amendment extends the expiration date of the Amended and Restated Rights Agreement, dated as of December 15, 1998 (the “Rights Agreement”), between the Company and Mellon from August 14, 2006 until November 21, 2006, while the Rights Agreement remains under review by the Company.
