On November 21, 2005, the Board of Directors of International Rectifier Corporation approved an updated Code of Ethics for the company’s employees, officers and directors.   A copy of the updated Code of Ethics is furnished as Exhibit 99.1 to this report and incorporated herein by reference.  A copy is also available at the company’s website at www.irf.com.
