Item 1.01 Entry into a Material Definitive Agreement

 

International Rectifier Corporation ("Company") previously reported and filed a certain Corporate Consulting Services Agreement ("Consulting Agreement"), dated April 1, 2004, with Nihon Inter Electronics Corporation ("NIEC"). The Consulting Agreement, which related to the Company's Chief Financial Officer Michael P. McGee’s service as Chairman of NIEC, expired by its terms on March 31, 2005. Mr. McGee continues to serve as Chairman and as a Director of NIEC.
