International Rectifier Corporation held a special stockholders meeting on January 26, 2004.  At the meeting, the Company announced that the proposal to approve an amendment to Article 4 of the Company's Certificate of Incorporation to increase the authorized number of shares of common stock from 150,000,000 to 330,000,000 passed.  The Company intends to promptly file an amendment to the Certificate of Incorporation to reflect such increase.  There was no other business presented to stockholders at the meeting.
