     With reference to the three class action lawsuits filed in Federal
District Court for the Central District of California in 1991 and identified
in the Company's Quarterly Report on Form 10-Q filed with the Securities and
Exchange Commission on November 14, 2000, the parties have agreed, subject to
court approval, to continue the pending trial date from February 6, 2001 to
March 6, 2001.
