Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On January 24, 2013, the Board of Directors of The Charles Schwab Corporation (“CSC”) approved the 2013 Stock Incentive Plan, subject to stockholder approval. At the Annual Meeting of Stockholders of CSC held on May 16, 2013, stockholders approved the 2013 Stock Incentive Plan (the “Plan”). A complete copy of the Plan is attached as Exhibit 10.360 and is incorporated herein by reference.

 

Item 5.07 Submission of Matters to a Vote of Security Holders

 

  (a) The Annual Meeting of Stockholders of CSC was held on May 16, 2013.

 

  (b) All nominees for election as a director were elected, and each nominee received more “for” votes than “against” votes cast for his or her election. The proposals for ratification of CSC’s independent auditors, for the advisory vote on executive compensation, and for the approval of the 2013 Stock Incentive Plan were approved. The stockholder proposal regarding political contributions and the stockholder proposal regarding proxy access were not approved. The final voting results were as follows:
