ITEM 1.01 ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT
On August 2, 2024, Educational Development Corporation (“EDC”, the “Company” or “Seller”) (NASDAQ: EDUC) (http://www.edcpub.com) executed the First Amendment (“Amendment”) to the Existing Commercial Real Estate Contract (“Contract”) with Rockford Holdings ("Rockford" or “Buyer”) dated as of June 6, 2024, for the sale of the Company’s headquarters and distribution warehouse located at 5400-5402 South 122nd East Avenue, Tulsa, Oklahoma 74146 (the “Hilti Complex”). The Amendment extends the inspection period of 60 days for due diligence ending on August 5, 2024 to September 4, 2024.
The foregoing description of the Amendment is not complete and is qualified in all respects subject to the actual provisions of the Amendment.
