ITEM 2.02. RESULTS OF OPERATIONS AND FINANCIAL CONDITION.

     On October 27, 2005, EDO Corporation issued an earnings release announcing
its financial results for the quarter ended September 24, 2005. A copy of this
earnings release is attached hereto as Exhibit 99.

     The information in this Current Report on Form 8-K and the Exhibit attached
