The notes are convertible at the option of the holders into common shares of EDO Corporation at an initial conversion price of $31.26 per share. The company intends to use the proceeds from the offering for general corporate purposes, including potential acquisitions. The notes were offered through the initial purchasers in the United States to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended, and outside the United States pursuant to Regulation S under the Securities Act. The notes have not been registered under the Securities Act and may not be offered or sold in the United States without registration or an applicable exemption from the registration requirements. Under the terms of a registration rights agreement, the company has agreed to file a registration statement under the Securities Act with the Securities and Exchange Commission to permit resales to the public of the notes and the common shares issuable upon conversion.
