Item 5.02.    Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
          On February 20, 2007, the Compensation Committee of the Board of Directors approved an annual base salary adjustment from $650,000 to $725,000 and a bonus target adjustment from 75% of base salary to 100% of base salary for James M. Smith, Chairman, Chief Executive Officer and President.
