(b) On August 18, 2008 the Registrant mailed a proxy statement to shareholders with respect to its annual meeting of shareholders, which is scheduled for September 18, 2008.  In the proxy statement Fleetwood disclosed that Dr. Douglas M. Lawson will be retiring from the board of directors immediately prior to the meeting, consistent with the Company’s Corporate Governance Guidelines, having reached age 72.
