Item 8.01. Other Events.

On September 16, 2004 Fleetwood Enterprises, Inc. issued two press releases.
One press release announced the promotion of three senior executives. The
other announced the pending retirement of its General Counsel, Forrest D.
Theobald, in April 2005, to be succeeded by Leonard J. McGill in accordance
with the Company' succession plan. The press releases are attached as
Exhibits 99.1 and 99.2, respectively.

           OF FORREST THEOBALD, GENERAL COUNSEL, IN APRIL

       Leonard McGill Will Succeed Him in Accordance With Succession
Plan


Riverside, Calif., September 16, 2004 - Fleetwood Enterprises, Inc.
(NYSE: FLE), one of the nation's leading manufacturers of recreational
vehicles and a leading producer and retailer of manufactured housing,
announced today that Forrest D. Theobald, senior vice president,
general counsel and secretary, will retire at the end of this fiscal
year, in April 2005. He will be succeeded by Leonard J. McGill, who is
currently senior vice president - corporate finance and chief
governance officer.

Theobald joined Fleetwood's legal department in 1975 as assistant
general counsel.  In 1980, he was promoted to associate general counsel
and director - corporate real estate. He was promoted to his current
position in 2001.

McGill joined Fleetwood in February 2002 as vice president - deputy
general counsel and was promoted to his current position in November
2003.  McGill had 16 years of experience in corporate and securities
law before joining the Company, most recently with the law firm of
Gibson, Dunn & Crutcher.

"During his distinguished 30-year career at Fleetwood, Forrest has
demonstrated success in each of his job assignments," said Edward B.
Caudill, president and CEO. "He has earned the respect and admiration
of colleagues and is recognized for the contributions he made and the
value he has added to the organization.  Probably most of all, Forrest

       FLEETWOOD ENTERPRISES PROMOTES THREE SENIOR EXECUTIVES

Riverside, Calif., September 16, 2004 - Fleetwood Enterprises, Inc. (NYSE:
FLE), one of the nation's leading manufacturers of recreational vehicles and
a leading producer and retailer of manufactured housing, announced today the
promotions of three of its executives. Christopher J. Braun and Roger L.
Howsmon have each been named executive vice president over their respective
operating groups, and Todd L. Inlander has been promoted to senior vice
president.

Braun leads all aspects of the Company's Recreational Vehicle Group,
including operations, sales, product development and marketing. He joined
Fleetwood in May 2003 as senior vice president - RV Group. Prior to joining
Fleetwood, Braun held a variety of senior leadership positions with PACCAR,
Inc., which he joined in 1987.

Howsmon was hired in June 2003 as senior vice president - Housing Group. He
is responsible for all aspects of the Group, including the wholesale and
retail divisions and HomeOne Credit Corp. Howsmon had more than 20 years'
experience in senior leadership positions with a variety of manufacturing and
service companies when he joined Fleetwood.

Inlander is Fleetwood's chief information officer, and leads all of its
information technology activities. He had worked with Fleetwood as a
consultant, heading up its new technology intiatives, prior to his
appointment as vice president in August 2000.
