Item 1.01:  Entry Into a Material Agreement
On January 11, 2006, management granted the Controller, Richard A. Sartor, an increase in his compensation for 2006. His annual base salary was increased from $107,220 to $120,000. Increases for the other named executive officers with the exception of Mr. James E. Sigmon, President and CEO have not yet been approved and will be reported when available. Mr. Sigmon's increase was disclosed on the Form 8-K filed on December 30, 2005.
