Philips acquires lighting controls company Dynalite in Australia
Further strengthens Philips position to lead the global switch to energy-efficient lighting solutions
Amsterdam, the Netherlands and Sydney, Australia Royal Philips Electronics (AEX: PHI, NYSE: PHG) announced today that it has acquired Dynalite, a leading maker of lighting controls headquartered in Sydney, Australia. Dynalite has become part of the Lighting Electronics business within the Philips Lighting sector. Financial details of this agreement were not disclosed.
Sophisticated lighting control systems can provide our customers with significant cost and energy savings. A variety of lighting control methods present a solution to suit any setting, ensuring that energy is not consumed unnecessarily, while providing the user with complete flexibility and control over their environment. As such, the acquisition of Dynalite enables us to further strengthen our offering of integral energy management solutions to major corporations, property developers and hotel groups, said Rudy Provoost, Chief Executive of Philips Lighting sector. Having a prominent lighting controls business will help us to further capitalize on the growing demand for energy saving solutions. This is fueled by trends towards net zero CO2 buildings and the accelerating global switch to green energy saving solutions, partly enforced by increasing government legislations.
Dynalite was founded in 1989 and has since become a prominent lighting control company with its energy management and building automation, architectural lighting control, home automation and residential applications solutions. The company, with offices in Australia, the U.K., China and Dubai has around 130 employees. Dynalite posted a double-digit profit margin and sales growth in 2008; a performance which is expected to continue in years to come as it starts leveraging Philips existing global distribution channels.
With the acquisition of Dynalite, Philips significantly expands its existing lighting controls business. The combination will have a prominent position in the global lighting controls industry with an estimated total market value of approximately EUR 2 billion. The acquisition also expands Philips green products portfolio, and further secures its position to lead the global shift to energy-efficient lighting solutions.

Philips General Meeting of Shareholders approves re-appointment of CFO, appointment of new Supervisory Board members and proposal for dividend payment in 2009
Amsterdam, The Netherlands Royal Philips Electronics (NYSE:PHG, AEX:PHI) today announced that the Annual General Meeting of Shareholders, held in Amsterdam on March 27, has approved the appointment of Ms Christine A. Poon and Mr. Jeroen van der Veer as members of the Philips Supervisory Board, effective March 27, 2009 and July 1, 2009, respectively. Shareholders have also approved to reappoint Mr James J. Schiro as member of the Supervisory Board.
Ms Christine A. Poon has been named dean of Ohio State Universitys Fisher College of Business as per April, 2009. She will also hold the John W. Berry Sr. Chair in Business. In view of this appointment she has retired from her positions as Vice Chairman of Johnson & Johnsons Board of Directors and Worldwide Chairman, Pharmaceuticals Group as of March 1st, 2009. Jeroen van der Veer has been Chief Executive of Royal Dutch Shell since October 2004. He joined the group in 1971 and held a number of senior management positions around the world before he was appointed a Group Managing Director in 1997. The General Meeting of Shareholders also approved the re-appointment of Mr. Pierre-Jean Sivignon, member of the Board of Management & Chief Financial Officer, for another four year period, effective April 1, 2009. Mr. Sivignon was appointed Chief Financial Officer of Philips at the General Meeting of Shareholders of 2005.

Philips acquires Selecon; a key provider of professional theatrical and architectural lighting solutions

Amsterdam, the Netherlands and Auckland, New Zealand Royal Philips (AEX: PHI, NYSE: PHG) announced today that it has acquired New Zealand-based Selecon, a prominent global designer, manufacturer and distributor of professional theatrical and architectural lighting fixtures. Under the terms of the agreement, Philips will acquire the business assets of Selecon New Zealand Limited, Selecon UK Limited, Selecon North America LLC and Aureol Lighting Limited. No financial details on the transaction were disclosed.
Selecons highly acclaimed luminaires for the theatrical and architectural markets will further strengthen the breadth of solutions Philips can offer to important professional customers such as performing arts centers, churches, convention centers and hotels, said Rudy Provoost, Chief Executive of Philips Lighting sector. Today we are further strengthening the product portfolio of our globally leading entertainment lighting business, building on the foundation provided by the acquisition of Genlyte in 2008.
Headquartered in Auckland, New Zealand, Selecon was founded in 1969 and employs approximately 95 people throughout Australasia, Europe and North America. Landmarks as diverse as the American Museum of Natural History, Hong Kong Science Museum, the Sydney Opera House and the Opera Bastille in Paris all use Selecon lighting. The company has delivered a double digit annual revenue growth rate over the last four years, a performance which is expected to continue in years to come. Selecon has become part of the Entertainment Group within the Philips Professional Luminaires business, which also encompasses the Vari-Lite and Strand Lighting business operations.
The acquisition of Selecon follows the acquisition of Italy-based Ilti Luce Srl, one of the leading LED design companies in Europe for architectural indoor lighting just over a month ago, and is the second such announcement in the Pacific region in as many weeks following last weeks acquisition of Australia-based lighting company Dynalite.
