PHILIPS COMPLETES ACQUISITION OF WITT BIOMEDICAL CORPORATION

Amsterdam, The Netherlands – Royal Philips Electronics (NYSE:PHG, AEX:PHI) announced today that it has completed its acquisition of Witt Biomedical Corporation, the largest independent supplier of hemodynamic monitoring and clinical reporting systems used in cardiology catheterization laboratories (Cath Labs). Under the terms of the agreement, which was announced on March 8, 2006, Philips acquired Witt Biomedical for USD 165 million. As a result of the transaction, Witt Biomedical will be financially consolidated with immediate effect within the Cardio/Vascular X-Ray business of Philips’ Medical Systems division.

PHILIPS INAUGURATES ASIA PACIFIC’S FIRST MEDICAL LEARNING CENTRE

• State-of-the-art Euro 12 million facility for advanced medical diagnostics equipment training is first of its kind in the region

Singapore – Philips Medical Systems (Philips), a division of Royal Philips Electronics (NYSE:PHG, AEX:PHI), today inaugurated Asia Pacific’s first Learning Centre for advanced medical diagnostics equipment training in Singapore. The Learning Centre offers training programs designed around the needs of healthcare technicians. Guest-of-honour Philip Yeo, Agency for Science, Technology & Research of Singapore Government and Jouko Karvinen, CEO, Philips Medical Systems, graced the inauguration ceremony.

The Singapore Learning Centre is designed around the needs of healthcare professionals and customers and will offer service engineers, sales engineers and application persons in depth knowledge of cutting edge medical technology. The Centre will also provide medical communities across the region access to the most advanced medical diagnostics equipment and their operation thus accelerating the delivery of quality healthcare.

The 37,000 sq ft Singapore Learning Centre is the largest dedicated facility of its kind for advanced medical equipment training in the Asia Pacific region. The centre is equipped with the most sophisticated medical diagnostics equipment, including cardio vascular X-ray, general X-ray, computer tomography (CT) scanner, Magnetic Resonance Imaging (MRI), Ultrasound systems and Patient Monitoring. The value of the initial investment in the centre is around Euro 12 million.

Speaking at the inauguration, Jouko Karvinen, CEO of Philips Medical Systems, said, “The Singapore Learning Centre has been established in response to our rapid expansion and success in the Asia Pacific region where we are benefiting from double-digit growth rates over the past couple of years. The opening of the Centre reinforces our commitment to advancing healthcare in Asia Pacific. The Learning Centre is aligned around our brand promise “Sense and simplicity” and is a reflection on how one makes advanced technology simple and easy to experience”.

“The Centre allows us to address a long pending requirement of this region – access to a facility providing education and training in the skills and expertise required to operate technologically advanced high-performance diagnostics equipment. Good healthcare solutions will improve patient care. At the same time, they will keep healthcare costs under control.”

“Singapore serves as an ideal location for the centre as it is in the heart of Asia Pacific, as well as a vibrant medical hub in the region. The Learning Centre offers training programs designed around the needs of healthcare technicians - from field sales and service engineers to marketing and application specialists, who require both theoretical and hands-on training for clinical practice. The centre will provide more than 4,000 training days during 2006 and increase to over 6,000 days over the next two years.

The full range of most advanced products and solutions from Philips Medical Systems are featured in the Learning Centre, and will be changed whenever newer models become available to keep up with the product cycle, so that trainees are always up-to-date with the newest technologies. Large, sophisticated equipment like CTs and MRIs have a permanent place in the Learning Centre, while smaller pieces of equipment are available for “mobile” training sessions, where they can be shipped to other countries in Asia for more cost-effective on-location training.

Potential customers can also benefit by visiting the centre for application training or equipment demonstration when they are in the process of equipping their hospital.

The centre caters to the needs of the Asia Pacific, Australasia and the Middle East regions, and has on board nine full-time trainers who can deliver lectures in English and also in either Mandarin or Japanese. The intent is to hire three more trainers. For additional support there are 3 administrative staff on board.

The Philips Design team was commissioned to make the Learning Centre’s interior experience a signature Philips one. The design team created a professional area where technology and lifestyle merges into a complete visible “One Philips” experience based on the understanding of peoples needs. The centre’s clean curved lines reflect a modern and innovative environment conducive to advanced learning. With eight lecture rooms, 20 labs and a 98-seat auditorium, the Learning Centre is flexible in use and appropriate to hold all Philips initiatives, such as medical training and product launches.

The newly established Learning Centre is on Level 5, TP3, at the Philips complex in Toa Payoh, Singapore.

PHILIPS COMPLETES TRANSFER OF OPTICAL PICK-UP UNIT TO ARIMA DEVICES

Amsterdam, The Netherlands – Royal Philips Electronics (NYSE: PHG, AEX: PHI) today confirmed closure of the deal, as announced on 9 January 2006, to transfer Philips’ optical pick-up (OPU) business unit to Arima Devices, an affiliated company of Arima Computer Corp. (TSE: Arima-2381). As a result, Philips holds a 12% share in Arima Devices.

PHILIPS ANNOUNCES U.S. COMMERCIAL LAUNCH OF MOTIVA – A TV-BASED PLATFORM FOR REMOTE PATIENT MANAGEMENT
Motiva uses the home TV to actively engage chronic disease patients with personalized healthcare content as part of their daily routines.

Andover, MA, USA - Royal Philips Electronics (NYSE: PHG, AEX: PHI) today announced U.S. commercial availability of Philips Motiva, its groundbreaking TV-based platform for remote patient management. Besides vital sign monitoring, Motiva engages patients daily with personalized interactive content helping care managers reach more patients, influence long-term behavior and lower healthcare costs.

“Motiva gives patients a friendly and familiar way to connect everyday with their healthcare organizations – the home television,” said Jay Mazelsky, vice president and general manager, for Philips Medical Systems. “Nearly everyone has a TV and Motiva transforms this common household device into a whole new way for nurses to educate, motivate and communicate with their patients. Equally important, Motiva lets clinicians continuously track each patient’s level of knowledge, motivation and confidence to achieve specific health goals related to his or her chronic condition. It’s a powerful combination designed to help organizations address both quality of life and cost of quality care.”

Designing Motiva around patient needs, Philips called on experts in the company’s consumer electronics business to learn how to wrap this ‘high tech’ system in an easy-to-use package, consistent with the overall Philips commitment to ‘Sense and Simplicity.” With a simplified user interface, patients only need to operate a few buttons on a Motiva remote control, while the secure broadband connection and set-top box installed at enrollment make the connection work.

In a usability study conducted in early 2005 in New Jersey, Motiva earned high marks from patients as old as 81. Said one patient, “If you know how to press a button, you know how it operates. The TV screen tells you everything you need to do.” Nurses found the system helped improve their connection with patients. The usability study was followed in June 2005 by a trial of Motiva in the Netherlands by leading Dutch healthcare insurer, Achmea.

Monitoring and management key to the Motiva experience
Motiva supports daily vital signs monitoring for high-acuity patients using wireless devices installed in the home. The current product includes Bluetooth-enabled weight measurement, while future Motiva releases are expected to incorporate blood pressure and glucose measurement.

For every patient, Motiva monitors ongoing health status, usage patterns and regularly queries patients about changes in their knowledge, motivation and confidence levels — insights nurses can use to adapt care plans and gauge impact on long-term behavior.

A familiar, friendly “coach” for motivating healthy behavior
To help patients achieve their health goals, healthcare organizations use Motiva to deliver care plans directly to patients at home. It’s as if patients each have a personal coach educating and motivating them to make lifestyle modifications that can lead to long-term behavior change. Subject to receipt of regulatory approval, Philips will acquire AVENT from the private equity firm Charterhouse Capital Partners LLP for approximately £ 460 million (approximately EUR 675 million) to be paid in cash upon completion of the transaction. The transaction is expected to close in the third quarter of 2006, and AVENT will be integrated into Philips’ Domestic Appliances and Personal Care division.

“We view the health and well-being of mothers and infants as a key future market for Philips. Through this acquisition, we can build on Philips’ leading position in Europe in baby monitors to become a leading provider of products in this market,” said Mr. Andrea Ragnetti, CEO of Philips Domestic Appliances and Personal Care division. “AVENT is recognized as a premium mother and baby care brand, while Philips’ brand is strongly associated with healthcare and advanced electronics designed around the consumer. So together, we see an excellent opportunity for emerging as a strong player in this growing market,” Mr. Ragnetti added.

For the 12 months ending March 2006, AVENT reported sales of approximately £ 113 million (approximately EUR 165 million) – representing a growth in sales of 12% over the previous 12 months, and an operating margin of 22%. Philips anticipates the acquisition to be accretive to margins from 2007 onwards. Over the next five years, it is expected that sales growth will significantly outpace the market.

To achieve this growth, Philips will combine AVENT’s well-established position in the UK and US markets and premium mother and baby care consumer brand with Philips’ extensive global reach, to expand AVENT’s activities – in particular into Asia and emerging markets. Through co-branding, Philips will create a premium product category through which future mother and baby care products – also increasingly with electronic components – can be introduced. Philips also expects to improve the efficiency of AVENT’s activities as they are scaled up, while leveraging both company’s mass retail and dedicated specialty sales channels.

Medical Systems speeding up growth while driving value creation
At the meeting, Philips will detail how the company’s Medical Systems business continues to serve as one of the growth engines for the company, with the Medical Systems management team remaining focused on value creation through ongoing operational improvements. PHILIPS LIGHTS UP THE REICHSTAG IN BERLIN DURING THE 2006 FIFA WORLD CUPÔ

Amsterdam, The Netherlands – In collaboration with lighting artist Micheal Batz, Royal Philips Electronics (AEX: PHI, NYSE: PHG) will be lighting the Reichstag in Berlin, the German seat of government, for the duration of the 2006 FIFA World CupÔ.

Implemented by the ‘Lebendige Stadt’ (Living City) Foundation, the 700 sources of light highlighting the architectural splendor of the 112-year-old historical landmark (see attached), will light the night sky for football fans and tourists alike. Using a combination of halogen lamps and light-emitting diodes (LEDs), the lighting array uses a number of ‘temperatures’, or shades, to bring out the Reichstag’s distinctive features.

“Philips is our preferred technical partner in the realm of city beautification projects. This is not the first time we have successfully worked together, previous projects including the promenade along the Rhine, and the Speicherstadt, the world’s largest warehouse complex in Hamburg,” said Batz.

City beautification projects have always been important for Philips Lighting. Other world-famous landmarks lit by the company including the Eiffel Tower, in Paris, Big Ben in London, The Sphinx in Cairo and the Opera House in Sydney.

Barcelona, Spain – Pierre-Jean Sivignon, Chief Financial Officer of Royal Philips Electronics (AEX: PHI, NYSE: PHG), will today address the Credit Suisse Annual European Technology Conference in Barcelona, Spain. Mr. Sivignon will use this forum to update the market on Philips’ continuing transformation into a healthcare, lifestyle and technology company, and will discuss how the company is becoming a more market driven company and focusing on creating opportunities for profitable growth.

Finally, an update will be provided on Philips’ first quarter results press release of 18 April 2006, in which it was announced that an expected EUR 430 million financial income (net of tax) in respect of TSMC cash and stock dividends would be realized in Q2 2006. However, based on latest currency rates and stock prices, and also taking into account the impact of the average cost price of TSMC shares, the financial income (net of tax) is now estimated at EUR 335 million. Included in this amount is a gain of EUR 112 million related to the transfer of the stock dividend shares to a trading portfolio, which Philips plans to book in Q3 2006. The remaining EUR 223 million will be booked in Q2 2006.

PHILIPS COMPLETES THE MERGER OF MOBILE DISPLAY SYSTEMS WITH TOPPOLY

Amsterdam, The Netherlands – Royal Philips Electronics (NYSE: PHG, AEX: PHI) announced today that it has completed the merger of Philips Mobile Display Systems with Toppoly Optoelectronics Corporation of Taiwan to form a leading mobile display company. The company is named TPO and it’s principal shareholders are Compal Electronics Inc. (of Taiwan): 25.1% and Philips: 17.5%.

As a result of the completion, Philips will take a EUR 28 million (pre-tax) positive result in Q2 2006, which will be reported as income from ‘discontinued operations’.
